Terms of Service

Effective April 26, 2026

These Terms of Service ("Terms") govern your access to and use of the HelpMesh platform ("Service") provided by [YOUR LEGAL ENTITY] ("HelpMesh"). By creating a workspace or using the Service, you agree to these Terms.

1. Account & eligibility

You must be at least 18 years old and able to enter into a binding contract. You are responsible for the activity that occurs under your account, including agents you invite. Workspace owners must keep credentials secure and notify us immediately at support@helpmesh.io if they believe an account has been compromised.

2. Acceptable use

You agree NOT to:

  • Send spam, chain mail, unsolicited commercial messages, or content that violates the recipient's consent or local anti-spam law.
  • Upload malware, illegal content, or content that infringes intellectual property.
  • Use the Service to harass, threaten, or discriminate against any person.
  • Reverse-engineer, scrape, or attempt to extract source code beyond what is documented in our public API and SDKs.
  • Resell the Service without a written reseller agreement.
  • Circumvent rate limits, plan tier restrictions, or security measures.

3. Customer data

You retain all rights to data you submit ("Customer Data"). You grant HelpMesh a worldwide, non-exclusive license to host, transmit, and display Customer Data solely as needed to provide the Service. Your use of HelpMesh as a data processor is governed by our Data Processing Addendum.

4. Plans, fees, and billing

Plan pricing, agent seats, included features, and overages are described on our pricing page. Subscriptions auto-renew unless cancelled. Refunds are issued at our discretion; annual plans are non-refundable beyond the first 14 days. We reserve the right to change pricing with 30 days' notice; existing committed terms are honored to the end of the current term.

5. Service-level commitments

Uptime, support response times, and remedies are described in our Service Level Agreement.

6. Suspension and termination

We may suspend the Service for non-payment, security risk, or violation of these Terms. We will give reasonable notice except where suspension is necessary to prevent harm. You may cancel at any time from your billing settings. Upon termination, Customer Data is retained for 30 days to allow export, then permanently deleted.

7. Intellectual property

HelpMesh and our licensors retain all rights to the Service, including software, documentation, and trademarks. You may not use our marks without prior written consent.

8. Confidentiality

Each party will protect the other's non-public information with the same care it protects its own (and at minimum, reasonable care). Customer Data is treated as confidential.

9. Disclaimers

The Service is provided "as is". To the maximum extent permitted by law, we disclaim all warranties (express, implied, statutory), including merchantability, fitness for purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted or error-free.

10. Limitation of liability

To the extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total aggregate liability shall not exceed the fees paid by you to HelpMesh in the 12 months preceding the claim.

11. Indemnity

You will defend, indemnify, and hold harmless HelpMesh from third-party claims arising out of (a) your use of the Service in violation of these Terms or law, or (b) your Customer Data. HelpMesh will defend you against third-party claims that the Service infringes their IP, subject to standard carve-outs.

12. Governing law

These Terms are governed by the laws of [GOVERNING JURISDICTION]. Disputes will be resolved in the courts of [GOVERNING JURISDICTION], except where local consumer-protection law mandates a different venue.

13. Changes

We will notify you of material changes by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
